I was not aware that even the server part of SOAP is not for free.
It's just for free for non commercial usage.
To understand how bug creation works, have a look at bug_report.php and core/bug_api.php function create.

1. rename mantis to mantis_old
2. create an empty directory mantis
3. extract the contents of the new mantis 1.2.2 to the empty mantis directory
4. copy your old configuration (at least the file config_inc.php) from mantis_old to mantis
5. point your browser to mantis/admin/install.php
